Terms and Conditions of Use

1. Acceptance of Terms

These terms and conditions govern access to and use of the platform TempoBook (the "Service"), including its website, applications, integrations, and Artificial Intelligence features. By creating an account, purchasing a plan, starting a free trial, or using the Service in any way, you declare that you have read, understood, and accepted these terms. If you do not agree, you must not use the Service.

If you are accepting these terms on behalf of a company or organization, you declare that you have sufficient authority to bind it.

2. Service Description

TempoBook is a conversational CRM that allows you to manage scheduling and bookings, centralize conversations from channels like WhatsApp, send reminders and campaigns, and operate an Artificial Intelligence agent that handles inquiries and scheduling on behalf of the business. The Service is provided as software as a service (SaaS) and may evolve, incorporate, or remove functionalities over time.

3. Registration and User Account

  • You must be of legal age and provide truthful, complete, and updated information.
  • You are responsible for the confidentiality of your credentials and all activity carried out from your account.
  • You must notify us immediately of any unauthorized use or security incident.
  • Each plan includes a specific number of users; additional users are billed according to the current rates published on the site.

4. Free Trial

TempoBook may offer a free trial period with defined usage limits (e.g., number of utility messages and AI conversations). The trial may require the registration of a valid payment method; no charges are made during the trial period, and you can cancel before its end. If the trial ends without cancellation, the subscription continues on the selected plan, and billing begins.

5. Plans, Prices, and Payments

  • Current plans, billing cycles, and additional packages are published on the pricing and plans.
  • All prices are expressed in United States Dollars (USD) and do not include applicable local taxes.
  • The subscription automatically renews at the end of each period, unless canceled beforehand.
  • Consumption above plan limits (AI conversations, reminder messages, or campaign messages) will be billed according to consumption rates or through additional packages.
  • We may update prices and rates; changes will be communicated with reasonable notice and will apply to the next billing period.
  • Failure to pay may result in the suspension or cancellation of access to the Service, after prior notification.

6. Cancellation and Refunds

You can cancel your subscription at any time; the cancellation takes effect at the end of the already paid period and does not generate proportional refunds, unless applicable law provides otherwise. Additional packages for conversations and reminders are non-refundable. We may suspend or terminate the Service in case of serious breaches of these terms, fraudulent use, or activities that put the platform or third parties at risk.

7. Acceptable Use

By using TempoBook, you agree not to:

  • Send unsolicited messages (spam) or contact individuals who have not given their prior consent (opt-in), except for Meta messaging through its official services.
  • Disseminate unlawful, misleading, defamatory, discriminatory, violent content, or content that infringes on third-party rights.
  • Marketing products or services prohibited by law or by the policies of integrated channels.
  • Attempting to violate, overload, reverse engineer, or gain unauthorized access to the platform or other customers' data.
  • Reselling, sublicensing, or replicating the Service without TempoBook's written authorization.
  • Using the platform to automate decisions that require professional or legal oversight without human control.

8. Integration with WhatsApp and Third-Party Channels

The Service integrates with external providers, including Meta's WhatsApp Business Platform (Cloud API) and cloud infrastructure services. The use of these channels is also subject to the policies and conditions of each provider, including their Meta Platform Terms. You are responsible for complying with these policies, maintaining the quality of your WhatsApp number, and obtaining the consent of your recipients. TempoBook is not responsible for suspensions, quality limitations, rate changes, or interruptions imposed by such third parties.

9. Artificial Intelligence Features

TempoBook incorporates Artificial Intelligence-based features ("AI Features"), such as the conversational agent that answers queries, schedules appointments, and suggests responses. By activating them, you accept the following additional conditions:

  • Probabilistic Nature: AI-generated results may be imprecise, incomplete, or unsuitable for a specific case. You must review relevant information before making business, clinical, financial, or legal decisions.
  • Human Supervision: You are responsible for the content the agent publishes on your behalf and for the configuration, context, and instructions you provide to it.
  • Model Providers: AI Features may operate on third-party models. The data necessary to generate a response is processed with these providers under confidentiality and security obligations.
  • Input and Output Data: You retain ownership of the content you submit and the result generated from it, to the extent permitted by law. TempoBook may process aggregated and anonymized metrics to operate, measure, and improve the Service.
  • Prohibited Use: You must not use AI Features to generate illicit content, impersonate identities, manipulate individuals, issue medical diagnoses, legal or financial advice without professional qualification, or circumvent the policies of integrated channels.
  • Transparency: Depending on applicable regulations, you may be required to inform your customers that they are interacting with an automated assistant; you are responsible for fulfilling this duty in your jurisdiction.
  • Consumption: Each AI interaction consumes credits or conversations according to your plan. Once the quota is exhausted, AI Features may be limited until an additional package is purchased or the cycle renews.
  • Availability: AI Features may be modified, limited, or suspended due to changes by model providers, legal requirements, or technical reasons.

10. Personal Data and Privacy

The processing of personal data is governed by our Data Processing and Consent Policy. Regarding your end customers' data, you act as the data controller and TempoBook as the processor, processing information according to your instructions and the purposes of the Service. You undertake to have a legal basis and valid consent to upload, contact, and store such data.

11. Intellectual Property

TempoBook and its licensors retain all rights to the platform, its software, trademarks, designs, documentation, and content. You are granted a limited, revocable, non-exclusive, and non-transferable license to use the Service in accordance with these terms. You retain ownership of your data, content, and contact databases, and you grant us a limited license to host and process them solely for the purpose of providing the Service.

12. Availability and Support

We strive to keep the Service continuously available, but we do not guarantee uninterrupted or error-free operation. We may perform scheduled or emergency maintenance, as well as updates that modify functionalities. Support is provided through the channels published on the website and within the informed hours.

13. Limitation of Liability

The Service is provided "as is" and "as available." To the maximum extent permitted by law, TempoBook shall not be liable for lost profits, loss of data, loss of business opportunities, indirect, incidental, or consequential damages arising from the use or inability to use the Service, including responses generated by AI Features. TempoBook's total cumulative liability shall not exceed the amount actually paid by the customer during the three (3) months prior to the event giving rise to the claim.

14. Indemnification

You agree to indemnify and hold harmless TempoBook, its partners, directors, and collaborators against claims, penalties, or damages arising from the improper use of the Service, non-compliance with these terms, sending communications without consent, or infringement of third-party rights.

15. Modifications to the Terms

We may update these terms to reflect legal, technical, or Service changes. We will publish the current version on this page with its update date and, when changes are substantial, we will communicate them through the usual channels. Continued use of the Service after the effective date implies acceptance.
